Once you’ve determined that filing a formal Cancellation of your LLC or Dissolution of your Corporation is essential to winding up your business, let Harvard Business Services, Inc. ease your mind and assist you with the process. An important detail when it comes to closing is the fees involved. Therefore, in order to avoid any costs for the 2012 tax year, the Cancellation/Dissolution filing must be submitted to the state of Delaware no later than December 31,2011. However, since the 31^st is a Saturday this year, HBS will require all signed forms to be returned before end of business on December 30^th.

So don’t wait until it’s too late.

In about two business days you will be provided with the approved date-stamped copy for your records. Your company is then formally closed with the State of Delaware and registered agent on file. The next step is to notify the IRS.

Over the last several years Harvard Business Services started to integrate Spanish options into our everyday support. HBS is known for its stellar customer service, so of course our transition to include Spanish services started there with customer support in Spanish by phone, live chat, and email. We then added our popular Insider’s Guide in Spanish, both in digital and hard copy format.

As our Spanish speaking clientele began to grow even larger, both domestically and abroad, we decided to start on a larger project – the translation of the website. Did You Pay the Delaware LLC Franchise Tax Yet?

Every Limited Liability Company (LLC), Limited Partnership (LP) and General Partnership (GP) formed in the State of Delaware is required to pay an annual franchise tax of $250 due by June 1 of each year. If the tax is not paid on time, then the State of Delaware will impose a $200 late penalty plus a 1.5% monthly interest assessment.

An annual report is not required to be filed, but the franchise tax must be paid in order to keep the company current and in good standing with the State of Delaware.

Any LLC/LP/GP that was formed on or before December 31, 2010 is required to pay the franchise tax that was due for 2010 by June 1, 2011. If your company was formed in 2011, then your first franchise tax filing will be June 1, 2012.

If you did not pay the annual franchise tax for your LLC/LP/GP, then Harvard Business Services can assist. We offer a franchise tax filing service for only $59 plus the actual franchise tax, late penalties and interest charged by the State of Delaware. We will make sure that your annual taxes are filed with the State of Delaware so your company is restored back to a Good Standing status.
