Typically when a client will officially change the name with the Division of Corporations a new seal is obtained. The seal is considered the official "signature" of the company and includes the company name, state where formed and year it was filed. It is important to have a correct seal for the corporation.

Hello,
I have recently amended my business'corporate name with the state of FL. Name changed only,FEIN and all else the same.

I have a sub-chapter S corporation and today was able to file for another W/C exemption over the telephone. Also was able to amend bank account and credit card in name only, keeping same #'s. It also enabled changing other accounts much easier than expected

Would I now need a new corporate seal?
Thanks~Brett Reed

Each state can have a different process to update the name of the foreign qualified entity. Typically, the state where qualified, requires an amendment to be filed, updating the original qualification. A Certified Copy of the Certificate of Amendment from Delaware Division of Corporations is required by most states to accompany the filing. A Certified Copy is a document, on Delaware Secretary of State Letterhead, that certifies that a document is a “true and correct copy” Certified copies may be ordered for any filings made with the Delaware Division of Corporation, including amendments, Certificates of Incorporation or Certificates of Formation. Harvard Business Services can obtain the Certified Copy of the amendment in 24 hours or less and assist with the amendment of the qualification.

Thanks for this post, Brett. I was wondering though, do you know how exactly changing a company's name in Delaware affects its standing in other states in which it is Qualified to do business? You recommend that one should inform relevant agencies and banks of the name change, but how does this tend to go? I assume that the entity will have to file similar amendments in any state they are Qualified in, or perhaps will have to re-Qualify altogether. This probably is something that varies state to state, and my guess is that knowing the ins and outs of each jurisdiction helps in determining the most efficient way of making this change. I was just wondering if you had any pointers about how taking care of these sorts of details usually goes, with specific attention to other Secretary of State offices.

Again, thanks for this interesting post.
